1. General Provisions
These Terms and Conditions apply to all quotations, sales, and deliveries from Rollover AS unless otherwise agreed in writing.
In case of conflict between a purchase order and these Terms, these Terms shall prevail unless explicitly accepted by Rollover AS in writing.
2. Payment Terms
Unless otherwise agreed, payment is due 15 days net from the invoice date.
Late payments will incur interest in accordance with the Norwegian Interest on Overdue Payments Act and a reminder fee of USD 7.
Rollover AS reserves the right to require advance payment.
3. Delivery Terms – Incoterms® 2020
Rollover AS delivers according to Incoterms® 2020, using the following delivery terms:
- EXW (Mysen / New Jersey Warehouse)
- CPT
The delivery term stated on the order confirmation applies.
3.1 EXW – Ex Works, Mysen, Norway
Unless otherwise agreed, deliveries from Norway are made EXW Rollover AS, Mysen, Norway.
Under EXW:
- The buyer assumes full risk and cost from the moment goods are made available at Rollover’s premises.
- The buyer is responsible for collection, export clearance, international freight, insurance, customs duties, and import handling.
- Rollover AS provides standard commercial documentation but is not responsible for arranging transport or export unless agreed in writing.
3.2 Deliveries to the United States – EXW New Jersey Warehouse
For customer orders fulfilled via the U.S. distribution warehouse in New Jersey, products are delivered EXW – New Jersey Warehouse (Incoterms® 2020).
3.2.1 Delivery and Risk Transfer
- Delivery occurs when goods are made available to the buyer or the buyer’s carrier at the New Jersey warehouse.
- The buyer assumes all responsibility, cost, and risk from this point.
- The buyer must arrange domestic U.S. transportation, insurance, and related costs.
- If Rollover AS assists in booking domestic freight, such costs are invoiced at actual cost, and risk transfers upon handover to the domestic carrier.
3.2.2 Transport from Norway to New Jersey (Internal Movement)
- Transport from Norway to the New Jersey warehouse is an internal logistical movement, not a delivery to the buyer.
- Risk remains with Rollover AS until goods are made available in accordance with EXW – New Jersey Warehouse.
- A third-party logistics provider (3PL) acts as Importer of Record (IOR) for U.S. customs purposes.
- Rollover AS is not responsible for delays, additional charges, or administrative matters handled by the IOR or U.S. customs authorities.
3.2.3 Pricing Structure for U.S. Deliveries
Prices for products delivered EXW New Jersey may include:
- Rollover Item
- U.S. Tariffs
- Ocean Freight, Dryage & Warehouse Handling
These inclusions relate solely to pricing and do not alter the delivery term EXW – New Jersey Warehouse or the risk transfer defined by Incoterms® 2020.
3.2.4 Orders Stating “Freight to New Jersey Included”
If an order confirmation specifies that freight to New Jersey is included:
- This refers only to the cost structure of the product.
- The contractual delivery term remains EXW – New Jersey Warehouse.
- Rollover AS does not assume transport risk or obligations beyond making the goods available at the warehouse.
3.3 CPT – Carriage Paid To
For orders where the order confirmation specifies CPT
3.3.1 Costs and Responsibilities
- Rollover AS arranges and pays for transportation to the specified destination.
- CPT does not include cargo insurance—this must be arranged by the buyer.
3.3.2 Risk Transfer Under CPT
- Risk transfers to the buyer when goods are handed over to the first carrier, in accordance with Incoterms® 2020 CPT.
- This applies regardless of whether freight is separately invoiced or included in the price.
3.3.3 Clarification: EXW New Jersey vs. CPT
- EXW New Jersey applies when goods are made available to the buyer at the warehouse and the buyer handles all further transport.
- CPT applies only when Rollover AS arranges delivery directly to the buyer’s specified destination.
- Included freight, tariffs, or handling costs for EXW New Jersey deliveries shall not be interpreted as CPT terms.
4. Prices and Product Modifications
Rollover AS reserves the right to adjust prices, discounts, designs, materials, and specifications without notice unless a fixed-price agreement exists.
Prices may be adjusted due to:
- Exchange rate fluctuations
- Taxes, duties, or regulatory changes
- Changes in material or manufacturing costs
Rollover AS strives for accuracy but accepts no liability for errors in published information, technical specifications, or pricing.
5. Returns and Cancellations
Returns require prior written approval from Rollover AS.
- Returned goods must be unused, undamaged, and securely packaged.
- Returns are at the buyer's expense and risk.
- A minimum deduction of 35% applies to approved returns or cancellations.
- Custom-built, modified, or special-order products are non-returnable.
6. Warranty
Rollover AS provides a 5-year warranty from the invoice date, covering manufacturing and material defects under normal and intended use.
6.1 Warranty Requirements
The warranty applies only when the Rollover Flatbed Applicator has been:
- Installed and operated according to manuals and technical specifications
- Used in accordance with intended purpose
- Maintained professionally and legally
6.2 Exclusions
The warranty does not cover:
- Consequential or indirect damages of any kind
- Normal wear and tear
- Misuse, improper installation, or unauthorized modifications
- Transport damage occurring after handover to the carrier
- Environmental factors such as lightning, fire, flooding, or insufficient ventilation
- Incompatibility with third-party systems or installation environments
- Normal service, maintenance, or consumables
6.3 Warranty Procedure
- All claims must be approved by Rollover AS in writing before work is initiated
- Rollover AS reserves the right to perform repairs or supply replacement parts
- Liability is limited to repair or replacement of defective goods only
- Unless otherwise agreed, the buyer covers shipping, travel, and accommodation related to warranty inspections or repairs
7. Retention of Title
All goods remain the property of Rollover AS until full payment has been received, including interest and fees, in accordance with the Norwegian Mortgage Act §§ 3-14 and 3-22.
In case of payment default, the buyer shall return the goods upon request.
8. Handling Fee
Orders for accessories not purchased together with a Rollover applicator are subject to a handling fee.
9. Export Documentation and Compliance (EXW Mysen)
The buyer is responsible for ensuring compliance with all regulations, permits, certifications, and customs requirements in the destination country. This includes, but is not limited to:
- Import permits required by the destination country
- Local compliance and certification applicable in the destination country
- Customs clearance and procedures at the final destination
- Taxes, local duties, tariffs, and government fees applicable in the destination country
Any additional documentation requested by the buyer or authorities in the destination country will be invoiced separately.
10. Limitation of Liability
Rollover AS is not liable for any indirect, incidental, or consequential loss, including but not limited to:
- Loss of production
- Loss of profits
- Business interruption
- Third-party claims
The seller’s maximum liability is limited to the invoice value of the product.
11. Force Majeure
Rollover AS shall not be liable for failure to fulfil obligations when such failure is due to circumstances beyond reasonable control, including but not limited to:
- Natural disasters
- War or political instability
- Pandemics
- Transport disruptions
- Shortage of materials
- Strikes or labor conflicts
Delivery times shall be extended accordingly.
12. Governing Law and Dispute Resolution
These Terms are governed by Norwegian law.
Any dispute not resolved amicably shall be settled by the Oslo District Court, unless Rollover AS opts for the buyer’s jurisdiction.
